Kolte-Patil Developers Concludes 35th AGM; Institutional Investors Register Notable Dissent on Asheesh Mohta's Reappointment

Promoter Backing Clears FY26 Financials; Institutional Investors Object to Mohta Reappointment

Kolte Patil Developers Limited completed its 35th AGM on July 27, 2026, approving FY26 financials and extending preferential issue utilization timelines. The meeting, conducted via Video Conferencing or Other Audio Visual Means (VC/OAVM), saw shareholders endorse the extension of the utilization period for preferential issue proceeds and appoint M/s Harshad S. Deshpande as Cost Auditor.

However, the governance resolutions revealed a split in shareholder alignment. While promoter support was unanimous, institutional investors opposed the reappointment of Asheesh Mohta, reflecting divergent views on board composition. While the promoter group held 65,458,747 shares and voted unanimously in favor of all resolutions, public institutional investors voted against the reappointment of Asheesh Mohta with 2,507,496 votes (42.47% of their polled votes).

Fund Deployment Extended to December 2027

The meeting sought approval for extending the utilization timeline of ₹417.03 crore raised through a preferential issue. The company proposes to extend the deadline for deploying these funds by 12 months, moving the completion date from 23 December 2026 to 22 December 2027, citing a conservative approach towards fund deployment and the need to evaluate market opportunities prudently. This contrasts sharply with institutional investors' unanimous support for the financial statements and the extension of the preferential issue utilization period.

As of 31 March 2026, the company has utilized ₹24.93 crores for general corporate purposes, ₹33.91 crores for real estate project development, and ₹45.75 crores for government premiums and floor space index (FSI) payments.

Board Reappointments and Independent Director Continuity

Mr. Asheesh Mohta, Director, retires by rotation and is eligible for re-appointment. In August 2025, the company announced the induction of three senior Blackstone executives to its board as Directors (Non-Executive, Non-Independent) – Mr. Tuhin Parikh, Vice Chairman of Real Estate (Asia) and Executive Chairman of Real Estate (India); Mr. Asheesh Mohta, Senior Managing Director and Head of Real Estate (India); and Mohit Arora, Managing Director in the Real Estate Group (India).

Independent director Girish Vanvari secured shareholder approval for a second consecutive term. The new tenure is effective from July 29, 2026, to July 28, 2031.

AGM Participation and Process

The e-voting facility remained open from July 24, 2026, at 9:00 AM IST to July 26, 2026, at 5:00 PM IST. A total of 41,127 shareholders were on record as of July 20, 2026, with 36 shareholders attending via VC/OAVM (10 promoters, 26 public). The proceedings were scrutinized by Nitin Prabhune, a Practicing Company Secretary appointed by the Board on May 22, 2026.

Context: Blackstone Investment and Company Growth

Kolte-Patil Developers Limited is an Indian real estate developer headquartered in Pune with additional operations in Bengaluru. The company focuses on residential and commercial property development and is listed on both the National Stock Exchange of India and BSE, with its equity and debt securities actively traded in the domestic capital markets. Blackstone will pick up a 40 per cent stake in Pune-based Kolte-Patil Developers for ₹1,166 crore, making a foray into India's residential property market.

Kolte-Patil Developers Limited reported sales of Rs 617 crore for Q1 FY27, remaining stable compared to the previous year, while collections rose 30% to Rs 715 crore. The Pune-based real estate developer achieved an average realization of Rs 9,442 per sq. ft., an increase of 29% year-on-year, driven by strategic price revisions and a higher contribution from Mumbai projects.
